Terms and conditions of business<\/p>\n

1. All sales are subject to the terms and conditions set forth\nhereinafter and any deviation therefor shall require our written\nacceptance and approval. Terms and conditions set forth\nby any ordering party cannot be accepted by us \u2013 even if not\nexpressly rejected by us in writing or otherwise.<\/p>\n

2. Prices are quoted in EURO \u2013 without Value Added TAX \u2013 exworks, and without packing. List prices are invoiced as applicable on the date of delivery. All prices without engagement and\nsubject to change.<\/p>\n

3. Design, finish, dimensions, weights, illustrations and specification\ndata are, unless specifically confirmed, approximate and subject to change. All rights towards changes of pattern and modification of the production are reserved and may be\neffected without any specific notice. Our catalogues are protected by copyright, and any reprint and\/or partial reproduction\nshall require our specific written approval.<\/p>\n

4. Packing Standards:
\nVarious product items are supplied in\nstandard packages containing fixed quantities. We hereby reserve\nthe right to supply other quantities placed on order in\nthe next higher or lower packaging standard units.<\/p>\n

5. Deliveries:
\nDelivery dates quoted by us are approximate and\nwithout engagement. The delivery period commences with\nthe date of our confirmation of order, yet is subject to the settlement\nof all details of the order, in which case the delivery period\nwill commence with the date such clearance has been obtained.
\nThe delivery period shall be deemed as duly kept once\nreadiness for shipment has been advised, which shall apply in\nall cases where shipment is impossible due to reasons beyond\nour control. Partial Shipments: We shall be entitled to effect\npartial shipments whenever this is in the interest of prompt\ndelivery and we are under-stocked with certain sizes, which\nwill then be shipped as soon as available.
\nThe purchasing party\nshall not be entitled to reject any such partial shipment\nas every individual shipment shall be deemed as an original\ntransaction. Subsequent Deliveries: Any product item not on\nstock or available for short-term supply at the time an order is\nreceived, will be held pending by us as an unfilled order until\nsuch time that we can effect shipment.<\/p>\n

6. Acts of God, strikes, lockouts, catastrophes\/disasters, operational\nbreakdowns and shortage of material shall release us\nfrom the responsibility for maintaining the delivery period for\nas long as any of the above events prevail.<\/p>\n

7. Shipment and Passing of Risk:
\nAny and all risks shall pass\nto the buying party from the moment the goods ordered are\naccepted by the forwarding agent or carrier for onward handling\n\u2013 or by no later such goods have left the supplier\u2019s works.\nRouting, means of transport and packaging shall be left to our\ndiscretion with exclusion of any and all liability unless specific\nshipping instructions have been set forth.<\/p>\n

8. Retention of Title
\nThe goods supplied by us shall remain our\nproperty for as long as we still have unsettled claims originating\nfrom the commercial relations with the buying party. The\nbuying party shall be entitled to use our goods \u2013 being our property\nin accordance with the aforesaid \u2013 in the course of proper\nand acceptable business transactions provided the buying\nparty is meeting the obligations, arising from the commercial\nrelations with us, in due time. The buying party shall not, however,\nbe entitled to pledge or assign the privileged goods as\nsecurity for a debt. The buying party is engaged to safeguard\nour rights and title in the case of the resale of the privileged\ngoods, if such resale is not performed against cash payment. In\nthe event of the buying party defaulting to pay in due time, we\nshall be entitled to request the temporary return of our goods,\nwhich still represent our property, without going to the extent\nof exercising the right to withdraw and to fix a final deadline at\nthe expense of the buying party provided such measure does\nnot unduly interfere with the production activities in the operating\nfacility of the buying party.<\/p>\n

9. Deficiency Claims and Warranty:
\nDeficiencies, which also include\nthe obscene of warranted quality, are covered by our liability\nas follows: The ordering party is held to inspect the goods\nimmediately after receipt for deficiencies and the absence of\nthe warranted quality features. Apparent defects must be reported\nwithin ten (10) days, and hidden defects must be reported\nin writing immediately upon discovery. Goods proved to be\nunserviceable or showing defects likely to extensively impair\ntheir serviceability due to circumstances having occurred prior\nto passing of the risk, will be replaced or reworked by us at our\noption. We extend the same warranty cover to replacements\nand reworked items as is applicable to the original delivery\ntime. The warranty period for replacement items is the same\nas for new delivery items. In the event that we have failed to\nprovide a replacement or to perform rework within a reasonable\nextension granted on the original term, the ordering party\nshall have the right of withdrawal. No liability is accepted by\nus for subsequent damage due to circumstances beyond our\ncontrol, namely: Unsuitable or improper use, incorrect assembly,\ninstallation and\/or stratup by the receiving or production\nequipment and facilities, chemical, electrochemical and\/or\nelectric influences.
\nNo liability is accepted by us for the subsequent\nresults of improper changes modifications and\/or repair\nwork performed by the receiving or any third party without\nour express approval.<\/p>\n

10.Place of performance and jurisdiction for all mutual claims\nshall be Krefeld, Germany.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<\/div><\/div><\/div>
